These Terms of Service (the "Terms") govern your access to and use of websites and online properties operated by RTM Services, LLC d/b/a Tandem that link to these Terms (collectively, the "Site"), as well as any related communications, including email and SMS/MMS programs. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Not legal or medical advice. The Site is provided for general informational purposes related to business services for rehabilitation healthcare practices. Nothing on the Site constitutes medical, legal, tax, or accounting advice.

Your use of the Site is also subject to our Privacy Policy, which describes how we collect, use, and disclose information.

Scope

RTM Services, LLC d/b/a Tandem provides business services to rehabilitation healthcare practices in the United States. These Terms govern your use of the public-facing Site and our marketing communications. These Terms do not govern client services delivered under a signed master services agreement, statement of work, or business associate agreement (each, an “MSA/SOW/BAA”). In the event of any conflict between these Terms and an MSA/SOW/BAA, the latter will control.

HIPAA Notice. When we perform services for a covered entity or business associate, we may act as a business associate under HIPAA pursuant to a BAA. Do not submit protected health information ("PHI") through the Site. PHI is handled pursuant to the applicable BAA and not by these Terms.

Eligibility

You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have authority to bind the business or organization on whose behalf you use the Site.

3Account Registration

Certain features may require an account. You agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Acceptable Use

You agree not to, and will not permit others to:

  • Use the Site for any unlawful purpose, to violate any applicable law or regulation, or to infringe others’ rights;
  • Upload, transmit, or otherwise make available any PHI, personal data of others without authorization, confidential information, or content that is illegal, harmful, fraudulent, defamatory, obscene, or infringing;
  • Attempt to probe, scan, or test the vulnerability of the Site or circumvent security measures;
  • Interfere with or disrupt the operation of the Site (e.g., through viruses, bots, scraping, or excessive requests) or access the Site via means other than our publicly supported interfaces;
  • Copy, modify, host, stream, sublicense, or resell Site content except as expressly permitted in these Terms.

We may monitor compliance and may suspend or terminate access for violations.

Intellectual Property; Limited License

The Site, including text, graphics, logos, and other materials, is owned by Tandem or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Site for your internal business purposes. We reserve all rights not expressly granted.

Feedback. If you provide feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty‑free license to use and exploit the feedback without restriction.

Third‑Party Services & Links

The Site may link to or integrate with third‑party websites, products, or services. We do not control and are not responsible for those third parties. Your use of third‑party services is at your own risk and may be subject to separate terms and privacy policies.

Marketing Communications

We may offer one or more email and SMS/MMS text messaging programs (e.g., “Tandem Alerts”) using registered 10DLC numbers for U.S. recipients. By providing your mobile number and opting in, you agree to receive recurring text messages from Tandem (RTM Services, LLC) at the number provided, using automated technology where applicable. Message frequency varies. Message and data rates may apply.

  • Opt‑Out: Reply STOP to cancel. You may receive a final confirmation message.
  • Help: Reply HELP for help or contact us (see Contact below).
  • Consent Not a Condition: Your consent to receive marketing texts is not a condition of purchase or of receiving our services.
  • Privacy: We do not sell or share your mobile information with third parties for their own marketing. Text messaging originator opt‑in data and consent will not be shared with any third parties other than message service providers to enable delivery.
  • Carriers: Wireless carriers are not liable for delayed or undelivered messages.

Orders, Trials, and Paid Services

Any orders for paid services, trials, or pilots arranged through the Site are subject to the applicable MSA/SOW. Unless otherwise stated in an MSA/SOW, fees are non‑cancelable and non‑refundable once services begin, and invoices are due as stated on the invoice.

Confidentiality

If you and Tandem have executed a mutual nondisclosure agreement or an MSA containing confidentiality terms, that agreement governs confidential information exchanged in connection with discussions or evaluations of services. In the absence of such agreement, information you submit via the Site is not confidential. Do not submit PHI, trade secrets, or other sensitive information via public Site forms.

Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TANDEM AND ITS AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR‑FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TANDEM OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, TANDEM’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID TO US FOR SITE ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

Indemnification

You will defend, indemnify, and hold harmless Tandem and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Site; (b) your violation of these Terms; or (c) your infringement or misappropriation of the rights of any third party.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the rights and licenses granted to you will terminate immediately.

Changes to the Site or Terms

We may modify the Site and these Terms at any time. If we make material changes, we will post the updated Terms on the Site and revise the Effective Date. Your continued use of the Site after the changes become effective constitutes your acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to its conflicts of law principles. You and Tandem submit to the exclusive jurisdiction and venue of the state and federal courts located in Multnomah County, Oregon for any disputes arising out of or relating to these Terms or the Site, except where prohibited by law.

Dispute Resolution

At Tandem’s option, any dispute, claim, or controversy arising out of or relating to these Terms or the Site may be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association. Class actions and jury trials are waived to the fullest extent permitted by law. This section does not apply to claims where injunctive relief is sought to protect intellectual property or confidentiality rights. If required by applicable law, you may opt out of arbitration by sending written notice within 30 days of first agreeing to these Terms.

Export & Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or person on any U.S. government embargo, sanctions, or denied‑party list. You agree to comply with all applicable U.S. and international export and sanctions laws.

Electronic Communications

By using the Site, you consent to receive electronic communications from us and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Miscellaneous

These Terms constitute the entire agreement between you and Tandem regarding the Site and supersede any prior or contemporaneous agreements regarding the Site. If any provision is held invalid, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Our failure to enforce any provision is not a waiver. Force Majeure: We are not liable for any delay or failure due to causes beyond our reasonable control.
